The essentials in 30 seconds
- A Singapore private limited company is a separate legal person that can employ staff, sign contracts and hold assets for a family office.
- A company needs at least one director who meets local residency rules and a company secretary who is a natural person.
- ACRA lists a registration fee of $300.
- The company appoints an auditor within 3 months of registration unless exempt.
- The MAS exemption asks the office to be incorporated in Singapore.
A private limited company is a practical legal vehicle for a family office in Singapore. It employs the team, signs the contracts and can be the office that notifies the Monetary Authority of Singapore (MAS). This page covers ownership, directors, the constitution and the yearly duties as of October 2026. It is one choice within the legal structure for a family office, and it belongs to the family office Singapore hub. This page is general information, not legal, tax or investment advice.

Why does a family office gain from being a separate legal person?
A private limited company is a separate legal person. It can employ staff, sign contracts with banks and advisers, and hold assets in its own name. For a family office these features give one clear counterparty, so every provider knows who the client is and who signs. This clarity also shortens onboarding, because one entity carries one set of documents.
The company can also be the office that the MAS exemption names. The exemption asks the office to be incorporated in Singapore, and a Singapore company meets that condition (MAS FAQ, 2026). The family then decides whether the company holds assets itself or manages assets held in trusts and fund vehicles.
Who owns a family office company, and how do the shares work?
Ownership sits in shares. ACRA asks for the currency, the share class, the number of shares and the allotment to each shareholder, with a minimum of one issued share (ACRA, 2026). A family can hold the shares personally, through a trust or through a holding company, and the choice shapes control and succession. Record every transfer of shares, so the register always matches the family story.
The MAS exemption adds a funding rule: the money behind the office originates exclusively from members of the same family and from key employees, who may own a non-controlling stake of up to 10%. The share register should therefore show a family chain that you can explain in a few lines to a bank.
Who directs a family office company in Singapore?
Every company has at least one director and one company secretary. A director is at least 18 years old, mentally fit, ordinarily resident and qualified under local residency rules, and is free of any ban or disqualification (ACRA, 2026). Families often add a second director who is a trusted adviser, so decisions have a counterweight.
The company secretary is a natural person, differs from the sole director and is appointed within 6 months of registration (ACRA, 2026). A family can seat a member as director, an adviser as secretary and a professional as an additional director. Write the decision rights of each seat in the constitution and in a board policy.
What does the constitution of a family office company set out?
The constitution is the rulebook of the company. ACRA lets you adopt the model constitution under the Companies (Model Constitutions) Regulations 2015 or upload a customised one (ACRA, 2026). The model text works for many companies, and a family usually wants more detail on how shares move and how decisions are taken. Ask your lawyer for a clause list before you upload anything.
A customised text can set out who may hold shares, how a share transfers within the family, which decisions need the approval of the family and how a deadlock resolves. These clauses turn family agreements into company rules. Your lawyer drafts them, and the family reviews them at each generation change.
What does it take to start a family office company?
Registration runs on Bizfile. The person who reserved the name files, or a corporate service provider files for the family, and Singpass or Corppass gives access. ACRA lists a fee of $300 and says most registrations are approved soon after payment, while complex ones may take up to 15 working days (ACRA, 2026).
Other position holders endorse the registration within 60 days unless a corporate service provider filed it. A full walk through the 10 steps of the application has its own guide in this series, so this page keeps to the choices that shape the company itself.
Which yearly duties does a family office company carry?
From the incorporation date the company keeps its statutory registers, including the register of registrable controllers unless exempt. It appoints an auditor within 3 months of registration unless it is exempt from audit, holds annual general meetings and files annual returns (ACRA, 2026).
The registered office is a Singapore address open to the public for at least 3 hours each business day, and ACRA sets a fine of up to $5,000 for non-compliance. The office also files its MAS annual return with total assets under management and the name of its bank within 4 months of the financial year end. Calendar these dates once, and the yearly rhythm becomes routine.
When does a private limited company fit a family office?
Choose a company when the office needs employees, a payroll and a single contracting party, and when the family wants a familiar legal form. Add a trust or a variable capital company beside it when a separate function appears, such as holding assets for heirs or pooling several portfolios. A short list of functions, written before registration, keeps the structure lean.
EQOS Asia scores a family decision and ranks the options (EQOS Asia private page, 2026). A pre-diagnostic applies that method to your structure question, and the company law steps remain with your lawyer and corporate service provider.

Frequently asked questions
Can a family office be a Singapore private limited company?
Yes. The MAS exemption asks the office to be incorporated in Singapore, and a Singapore private limited company meets that condition. The family keeps the freedom to hold the shares personally, through a trust or through another company, as long as the funding of the office comes from the family and key employees.
How many directors does the company need?
A local company needs at least one director who meets the local residency rules, and at least one company secretary who is a natural person and differs from the sole director. Many families seat 2 or 3 directors, including an adviser, so decisions have a counterweight and the record stays clear.
Does the company need an auditor?
The company appoints an auditor within 3 months of registration unless it is exempt from audit under the Companies Act. Whether the exemption applies depends on the company, so ask your adviser before the deadline. The office also files its own MAS annual return with total assets under management.
What does it cost to register the company?
ACRA lists a registration fee of $300, paid by card or online banking. Advisers, a registered office address and a corporate service provider are separate lines in the budget, and their price depends on the provider you choose. The guide on running costs in this series explains how to build the budget.
