Terms of Sale
These Terms of Sale govern the EQΦS (EQPhiS) Asia — Codex Universalis services provided by The Bright Company AG. Any order implies acceptance without reservation.
Table of contents
Article 1 — Service provider identification
The Bright Company AG (hereinafter "the Provider") operates the EQΦS (EQPhiS) Asia brand and the Codex Universalis method under a non-exclusive license granted by their co-owners (Olivier Delhomme and Sébastien Beldent, joint ownership 50/50, prior art INPI e-Soleau n° DSO2026020500).
Article 2 — Purpose and scope
These Terms define the conditions under which the Provider supplies its services to any individual or legal entity (hereinafter "the Client") ordering one of its services. Any order implies full and unreserved acceptance of the Terms in force at the date of signature or validation by the Client.
These Terms prevail over any Client purchase conditions, unless an express derogating agreement is signed by both parties.
Article 3 — Services offered
The Provider offers the following services, presented on the Pricing page and declined, under names specific to each activity (Finance, Decision, Delivery, Signal…), on the dedicated sales pages:
- Read (US$390) — 1 question, verdict within 24-48 h.
- Decision (US$990) — Targeted study, 2-3 days.
- Study (US$1,490) — Full study with projection, interactive HTML deliverable.
- Diagnostic (US$2,490) — In-depth audit or modeling (e.g. "Investment Modeling" in Finance).
- Strategic Diagnostic (US$4,990) — Multi-axis, Comex debrief.
- Mapping (US$25,000/year) — Full partnership, continuous re-measurement.
- Alerts / continuous monitoring (from US$90/month, no commitment) — Periodic re-run of the model, threshold alerts.
- Sentinel (on quote, from US$1,000/month) — Tailored continuous monitoring.
- Mission / Volume partnership (on quote) — Tailored strategic mission or large-scale deployment.
Some activities (e.g. Delivery, Signal) offer some or all of these services under usage-based pricing (per deliverable generated, per report produced). The contractual principle remains identical — quote or immediate payment for any standardized service, performance starting upon the Client's express consent — and is specified before ordering on the relevant sales page.
The exact content of each service is defined in the quote, mission brief, or sales page sent to the Client before ordering. Custom services are subject to a specific quote.
Article 4 — Order and contract formation
The order is formed upon electronic signature of the quote by the Client, or, failing that, upon receipt of payment (deposit or full amount) for standardized services under US$5,000.
Any order implies the communication by the Client of accurate and complete information necessary for performance. Failing that, the Provider reserves the right to suspend the mission until regularization, without incurring any liability.
For standardized services under US$5,000 ordered with immediate payment (without prior appointment), validating the order constitutes the Client's express acceptance of the mutual NDA defined in Article 7, whose terms are available for review before ordering in these Terms; this acceptance, timestamped and linked to the identification information provided at payment, binds both parties on the same footing as a signed writing. For services requiring a prior appointment or of a higher amount, an NDA is sent to the Client and must be the subject of a distinct electronic signature by both parties before any exchange of sensitive documents or commencement of performance (see Article 7).
Article 5 — Pricing and payment
5.1 Currency and pricing
Prices are stated in US dollars (USD), excluding taxes. Any tax applicable under the Client's jurisdiction is invoiced in addition.
5.2 Payment terms
- Services ≤ US$2,490: full payment upon order, by bank transfer or credit card.
- Services > US$2,490: 50% deposit upon order, balance upon delivery.
- Sentinel and Mission: conditions defined in the quote (monthly billing, payment schedule).
5.3 Late payment
Any late payment triggers, without prior notice, late interest at the ECB rate plus 10 points, and a fixed recovery indemnity of US$40.
Article 6 — Timelines and performance
Indicated timelines run from full receipt of the elements necessary for the mission (deposit, signed NDA, transmitted dossier).
The Provider commits to a best-effort obligation, not a result obligation. The quality and relevance of analyses depend in particular on the quality, completeness and accuracy of the information provided by the Client.
Article 7 — Confidentiality and NDA
A systematic bilateral NDA covers every service, under one of the two forms defined in Article 4: express acceptance upon a standardized online order, or a distinct electronic signature for services by appointment or of a higher amount. Confidentiality obligations are mutual and survive the end of the mission as long as the information remains confidential.
The Provider will not disclose the existence, content or conclusions of a mission, except with the Client's explicit written agreement (anonymized or not).
Anonymized studies published on the site (page Case studies) are published only after formal Client agreement and full anonymization (names, companies, specific sectors).
Article 8 — Intellectual property
The EQΦS (EQPhiS) Asia — Codex Universalis system, its methods, models, equations, operators and coefficients remain the exclusive and joint property of the co-owners (Olivier Delhomme and Sébastien Beldent), prior art established by INPI e-Soleau envelope n° DSO2026020500.
The Client becomes the owner of the final deliverable (report, dashboard, recommendations) and may use it freely internally. The Client agrees not to reproduce, reverse-engineer, decompile or exploit the underlying proprietary methods and equations.
Article 9 — Limitation of liability
The analyses, projections and recommendations provided are decision-support tools. The final decision and its consequences remain the sole responsibility of the Client.
The Provider's liability shall in no case exceed the total amount actually paid by the Client for the relevant service over the 12 months preceding the triggering event.
The Provider shall not be held liable for indirect damages (loss of operations, loss of opportunity, loss of earnings, image damage).
Article 10 — Right of withdrawal
In accordance with applicable consumer law, the right of withdrawal cannot be exercised for services fully performed before the end of the 14-day period whose performance began with the Client's express consent.
For consumers (individuals acting for non-professional purposes), the 14-day withdrawal period applies from the order date. The Client expressly waives this right if they request immediate commencement of the service.
Article 11 — Termination
In case of serious breach by either party, the other party may terminate the contract by right after formal notice that has remained without effect for 30 days. Amounts due for services already performed remain owed to the Provider.
Monthly subscription services (Alerts / continuous monitoring and equivalents) are provided with no commitment period: the Client may cancel at any time, cancellation taking effect at the end of the current monthly period. The month already begun remains due.
Article 12 — Force majeure
Neither party shall be liable for non-performance resulting from force majeure. The affected party shall inform the other as soon as possible.
Article 13 — Personal data
Processing of personal data is governed by the privacy policy (PDPA).
Article 14 — Governing law and disputes
These Terms are governed by Singapore law, except for mandatory rules of the law of the consumer Client's country of residence.
Any dispute shall first be subject to an amicable resolution attempt. Failing that, jurisdiction is granted to the courts of Singapore, or, where law requires it for a consumer, to the court of the Client's place of residence.
